TEXAS: Energy Transfer Equity Files Registration Statement


Energy Transfer Equity, L.P. (NYSE:ETE) announced the filing of a Registration Statement on Form S-3 with the Securities and Exchange Commission.

The Registration Statement consists of two prospectuses. The first prospectus covers the registration of up to $2.0 billion of common units that may be sold by Energy Transfer Equity from time to time. The partnership has no immediate plans to offer or sell any common units pursuant to this Registration Statement.

The second prospectus covers the registration of outstanding common units owned by existing ETE unitholders that may be sold from time to time by these unitholders. The registration of outstanding common units owned by existing unitholders satisfies registration obligations of the partnership, including registration obligations made to entities that purchased common units in the November 2006 and March 2007 private placements. All units owned by existing unitholders included in this Registration Statement are currently outstanding, therefore this registration is not dilutive to the partnerships existing common unitholders.

A registration statement relating to these securities has been filed with the Securities and Exchange Commission but has not yet become effective. These securities may not be sold nor may offers to buy be accepted prior to the time the registration statement becomes effective.
